Terms of Service

1. Acceptance of Terms

By accessing or using the Lume website located at lumemusic.com (the “Site”) or any of our services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Site.

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Site or email. Your continued use after changes are posted constitutes acceptance.

2. Eligibility

You must be at least 13 years of age (or the age of digital consent in your jurisdiction) to use the Site. By using the Site, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

3. Accounts

  • Registration: You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep it updated.
  • Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • Termination by you: You may delete your account at any time by contacting us at support@lumemusic.com.
  • Termination by us: We may suspend or terminate your account at our discretion if you violate these Terms or engage in conduct we deem harmful to the Site or other users.

4. Purchases and Payments

  • Digital album purchases: Certain content on the Site is available for purchase as a one-time digital order. Pricing is displayed on the relevant product page at the time of purchase.
  • Payment: By completing a purchase, you authorise us to charge your payment method for the amount displayed at checkout.
  • Refunds: All sales are final and non-refundable except as required by applicable law or as expressly stated in our refund policy.
  • Price changes: We may update prices at any time. The price displayed at checkout is the price you will be charged.
  • Payment processing: Payments are processed by third-party processors. By providing payment information, you agree to their terms.

5. Content and Intellectual Property

Our Content

All content on the Site — including text, images, video, audio, graphics, logos, and software — is owned by or licensed to Lume and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Limited License to Users

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content for your personal, non-commercial use only.

User-Submitted Content

If the Site allows you to submit, post, or share content (“User Content”), you retain ownership of your User Content but grant Lume a worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, and distribute it in connection with operating and improving the Site. You represent that you have all rights necessary to grant this license and that your User Content does not violate any third-party rights or applicable law.

6. Prohibited Conduct

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms.
  • Copy, scrape, or systematically download content from the Site without our written permission.
  • Share your account credentials or allow others to access your account.
  • Upload or transmit viruses, malware, or other harmful code.
  • Attempt to gain unauthorised access to any part of the Site or its systems.

We reserve the right to investigate and take appropriate action for violations, including removing content and terminating accounts.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LUME AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LUME IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS (USD $100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Lume and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Site, your User Content, or your violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Aotearoa New Zealand, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Site shall first be submitted to informal negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration under the rules of the New Zealand Dispute Resolution Centre, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

12. Digital Millennium Copyright Act (DMCA)

If you believe content on the Site infringes your copyright, please send a notice to our designated agent at dmca@lumemusic.com with: (1) a description of the copyrighted work; (2) identification of the infringing material and its location on the Site; (3) your contact information; (4) a statement of good faith belief; and (5) a statement of accuracy and authority, signed under penalty of perjury.

13. Miscellaneous

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lume regarding the Site.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign these Terms without our written consent. We may assign our rights without restriction.
  • Force majeure: We are not liable for failure to perform due to circumstances beyond our reasonable control.
